Seller Agreement

1. Eligibility
You must verify your email and complete Stripe Connect Express onboarding (identity, bank account, tax information) before listing. Listings cannot go live until Stripe confirms your account is enabled for charges and payouts.
2. What you can list
Only content you own or have the right to distribute. This includes AI models (e.g., .pt, .onnx), training datasets, and labeling schemas intended for construction-industry use cases. You warrant that:
- Training data was obtained lawfully and with necessary rights.
- No third-party IP or trade secrets are embedded.
- The content does not contain personal data unless explicitly disclosed.
- The content is not subject to export restrictions that prohibit its sale.
3. Accuracy of listings
Metrics (mAP, precision, recall) and descriptions must be honest. We may request evidence (confusion matrix, training curves, sample predictions). Misrepresentation is grounds for removal and payout hold.
4. Platform fee
We take a platform fee from each sale. The current default is 20%, subject to change. Some sellers may be offered custom rates. The fee applied to each sale is displayed at checkout and recorded in your sales history.
5. Payouts
Stripe Connect transfers the seller's share directly to your bank account on Stripe's standard schedule. We do not hold your funds except where required by law, dispute, or compliance review.
6. Disputes and chargebacks
If a buyer disputes a charge, your payout for that sale may be frozen until the dispute resolves. Persistent dispute rates or fraud may result in account suspension.
7. File integrity
Once a listing has one or more completed purchases, the file cannot be replaced. You may edit the title, description, price, and metadata, but to publish a new version you must create a new listing. The SHA-256 hash of each file is displayed publicly for buyers to verify.
8. Taxes
You are responsible for all taxes on your earnings. Stripe handles US 1099 reporting where applicable. We do not provide tax advice.
9. Non-exclusivity
You may list the same content on other marketplaces.
10. Termination
We may remove listings or suspend seller accounts that violate these terms or our content policies. Completed payouts are not clawed back except in cases of fraud or chargeback.
